1. Introduction

These Terms and Conditions (“Terms”) govern your use of the website at mcrally.ca and the professional accounting, bookkeeping, tax, and fractional CFO services provided by McRally (“we,” “our,” or “us”), a professional accounting firm based in Calgary, Alberta.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Services Provided

McRally provides the following professional services to business owners across Alberta:

  • Accounting Services: Bookkeeping, financial reporting, year-end preparation, and financial visibility services
  • Tax Services: Tax preparation, filing, back-tax resolution, tax optimization, and year-round tax planning
  • Fractional CFO Services: Cashflow forecasting, business strategy, financial planning, and senior-level financial guidance

The specific scope, deliverables, fees, and timelines for your engagement will be outlined in a separate engagement letter or service agreement signed by both parties. In the event of any conflict between these Terms and a signed engagement letter, the engagement letter will take precedence.

3. Client Responsibilities

To enable McRally to deliver services effectively, you agree to:

  • Provide accurate, complete, and timely financial information, records, and documentation as requested
  • Notify us promptly of any changes to your business structure, ownership, or financial circumstances that may affect the services
  • Review all deliverables, reports, and filings provided by McRally in a timely manner and notify us of any errors or concerns
  • Meet agreed-upon deadlines, particularly for tax filings and year-end submissions, to avoid penalties or late fees from the Canada Revenue Agency (CRA)
  • Maintain access to your accounting software (Xero, QuickBooks Online, or equivalent) and grant McRally the permissions necessary to perform the agreed services

McRally is not responsible for errors, penalties, or adverse outcomes arising from inaccurate, incomplete, or late information provided by the client.

4. Fees and Payment

  • Fees for services will be set out in your engagement letter or service proposal and are subject to applicable Canadian taxes (GST/HST)
  • Invoices are due within the timeframe specified in your engagement letter. Overdue accounts may be subject to interest charges
  • McRally reserves the right to pause or discontinue services on accounts with outstanding balances until payment is received
  • Fee adjustments may apply if the scope of services changes materially from what was originally agreed upon
  • All fees are quoted and payable in Canadian dollars (CAD)

5. Confidentiality

McRally takes the confidentiality of your financial information seriously. We will not disclose your personal or business financial information to third parties except:

  • As required by law, court order, or regulatory authority (including the Canada Revenue Agency)
  • With your explicit written consent
  • To trusted service providers (such as Xero or QuickBooks Online) strictly for the purpose of delivering agreed services
  • To our professional advisors where necessary to protect our legal rights

This confidentiality obligation survives the termination of our engagement.

6. Professional Standards and Limitations

McRally’s services are provided in accordance with applicable professional standards. However, please note:

  • Our services do not constitute legal advice. For legal matters, you should consult a qualified lawyer
  • Tax advice provided is based on current legislation and CRA guidance at the time of engagement. Tax laws are subject to change and McRally is not liable for changes in legislation affecting prior advice
  • Financial projections, forecasts, and strategic recommendations are based on information available at the time and do not constitute a guarantee of outcomes
  • McRally’s fractional CFO services are advisory in nature. Final business decisions remain the sole responsibility of the client

7. Limitation of Liability

To the fullest extent permitted by Alberta law:

  • McRally’s total liability to you for any claim arising out of or related to our services shall not exceed the total fees paid by you to McRally in the three (3) months preceding the claim
  • McRally shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits or business interruption, even if advised of the possibility of such damages
  • McRally is not liable for CRA penalties, interest, or assessments arising from information that was inaccurate, incomplete, or not provided by the client in a timely manner

9. Termination of Services

  • Either party may terminate the engagement by providing written notice as specified in the engagement letter
  • Upon termination, you remain responsible for fees owed for services rendered up to the date of termination
  • McRally will make reasonable efforts to provide you with your financial records and files upon termination, subject to outstanding balances being settled
  • McRally reserves the right to terminate an engagement immediately in cases of non-payment, misrepresentation, or conduct that compromises our professional obligations

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Alberta.
